OUTFITTING LITTLES LLC
PARTICIPATION AGREEMENT AND TERMS AND CONDITIONS

PARTICIPATION:
You can participate in an Outfitting Littles Consignment Sales Event (“Event”) in various ways. If you have questions about how you can participate, please contact Outfitting Littles directly. By signing up to participate in an Outfitting Littles Consignment Sales Event, you agree to these terms and conditions. When registering to participate in an Event, you agree to provide Outfitting Littles with your current contact details and give Outfitting Littles permission to reach out to you using the provided information. If you sign up through a third-party ticket sales site, you give permission for Outfitting Littles to create an account for you and input your contact information into the system.
SHOPPING:
As a shopper at our sales event, you acknowledge that the items are pre-loved and agree to take responsibility for inspecting the items you purchase for safety. While Outfitting Littles Team Members perform a basic inspection, it is your responsibility to check for any and all hazards or items that could pose a risk to children.
CONSIGNMENT:
If you choose to consign items, you may authorize Outfitting Littles to sell items such as clothing, toys, and equipment (“Goods”) on your behalf. By consigning Goods, you agree to the following:
a. Right to Reject: Outfitting Littles reserves the right to refuse any items for consignment at its sole discretion.
b. Ownership: You confirm that you have legal possession and title to the Goods and the authority to sell them free of liens, encumbrances, or claims.
c. Authority to Sell: You deliver the Goods to Outfitting Littles, authorizing them to sell the Goods on your behalf. Ownership passes to the buyer when Outfitting Littles receives payment. All sales are final.
d. Not Obtained Through WIC: The Goods were not obtained for free through any government program, including the Special Supplemental Nutrition Program for Women, Infants, and Children (WIC).
e. Condition of Goods: You guarantee that: (i) the Goods are in good condition, complete, and without known defects; (ii) none are subject to recall or legal action; (iii) none have been exposed to flooding, fire, or contamination; (iv) none are counterfeit or unauthorized copies; and (v) the labels remain intact and unaltered. You also confirm that all items have been inspected for safety hazards, including checking all pockets for choking risks.
f. Pricing: You have labeled each item with a barcode and agreed-upon price. You allow items marked to donate or discount are eligible for price reduction during advertised discounted hours.
g. Taxes and Fees: Outfitting Littles will collect and remit sales taxes for all sold items. You acknowledge that electronic payments (e.g., credit cards) may be processed with a fee by the payment provider.
h. Compensation: You will receive a percentage of the sale price (after deductions for payment processing fees and taxes) as determined by Outfitting Littles, which will be posted on their website before the event. You will also pay a consignor fee as specified on the site. Outfitting Littles will retain the remaining balance.
i. Liability: Outfitting Littles will make reasonable efforts to safeguard the Goods, but will not be liable for loss, theft, or damage beyond its control, except in cases of gross negligence or willful misconduct. If you choose to consign an item that is breakable or fragile, Outfitting Littles will not be liable for any accidental damage.
j. Unsold Goods: You must pick up any unsold items by a specific time. Any items left after this time may be donated or disposed of at Outfitting Littles discretion, with no liability to you.
k. Charity Partners: If the preferred charity partner cannot accept donated items after the event, Outfitting Littles will determine the best course of action for the items, such as redistribution to other charity partners, disposal, or sale at future events with proceeds benefiting charity. This policy will only apply in rare cases.
TEAM MEMBERS:
Some Outfitting Littles sales may offer roles for Team Members to assist before, during, or after an Event. “Team Member” refers to all individuals assisting with these roles, regardless of employment status. You acknowledge that unless you sign an employment agreement and receive an employee handbook, you are not an employee of Outfitting Littles. You also agree that your relationship with Outfitting Littles and its owner does not create a partnership or agency relationship. If you choose to work as a Team Member, you agree to the following:
a. Right to Refuse: Outfitting Littles reserves the right to deny participation at an Event to any person at any time, for any reason in its sole and absolute discretion, except that Outfitting Littles is committed to complying with all Federal and State laws, rules and regulations and to not discriminating based on any protected characteristic.
b. Scheduling: You agree to sign up to participate as a Team Member for only those times and functions which you are able to meet. You are under no obligation to sign up for any particular time or function or to provide any services to Outfitting Littles, but you commit to fulfilling those times and functions which You in your sole discretion select.
c. Safety: You understand that safety is a first priority for Outfitting Littles. You agree that at all times while participating as a Team Member that You are solely responsible for Your own safety. You agree to watch for, avoid, and report any and all unsafe conditions of which you become aware. You agree that you will, immediately upon entering the Event, and will continuously thereafter, inspect the Area which you enter and further warrant that, if at any time You feel unsafe, you will immediately inform Outfitting Littles or its designated representative and if necessary will leave the Event and refuse to participate further in the Event. You specifically assume all risks associated with Your participation as a Team Member.
d. Respect: You agree to treat all individuals with respect, using courteous and professional language and behavior at all times. You agree at all times to be courteous to Outfitting Littles and its agents, to other Team Members, to vendors, and to the Public and to refrain from any profanity or distasteful language. No language or behavior which may be determined to be harassing will be tolerated.
e. Compliance: Compliance With All Laws. It is the policy of Outfitting Littles to comply with all Federal, State and Local laws, rules and regulations. You agree that while participating as a Team Member, you will not violate any laws, rules or regulations. If you are ever asked by any person to violate any laws, you agree to refuse and to promptly report the request to Outfitting Littles.
f. No Children: You agree that if You have minor children, you will make other arrangements for their care and supervision while participating as a Team Member unless you have the agreement of Outfitting Littles.
COMMUNICABLE DISEASE SAFETY:
You acknowledge the contagious nature of COVID-19 and other communicable diseases, understanding that exposure to such diseases is a potential risk during participation. You voluntarily assume the risk of exposure or infection by attending an Event, whether you are a consignor, Team Member, shopper, or vendor. You accept full responsibility for any illness, injury, or related expenses. If you or anyone in your household is unwell or diagnosed with a communicable disease, you agree not to attend or participate. You also agree to follow all safety protocols and comply with state/local health regulations.
PHOTOGRAPHS:
By participating in the Event, (in any capacity, including but not limited to as a shopper, consignor, or Team Member) you consent to being photographed, filmed, or recorded, and grant Outfitting Littles the right to use your image for promotional purposes without compensation. If you do not wish to be photographed, please inform the photographer.
INDEMNIFICATION:
You agree to indemnify and hold harmless Outfitting Littles LLC and their respective owner, members, agents, beneficiaries, employees and authorized representatives against all claims, demands, debts, duties, liabilities, judgments, settlement and expenses (including, attorneys’ fees and expenses) actually incurred by any and all of them in connection with the investigation, defense and/or settlement of any such claim or any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative by reason of the breach of Your representations and warranties in this Agreement.
REPRESENTATIONS & WARRANTIES:
Each party represents to the other that: (a) it has all requisite power and authority to enter into this Agreement and to perform its duties and obligations under this Agreement; and (b) this Agreement is valid and binding on it and its successor and assigns in accordance with its terms.
